I. Purpose

The purposes of the Strategy & Organizational Performance Committee (the “Committee”) are as follows:

  1. To assist the Board of Directors (the “Board”) of RECO in ensuring that RECO develops and implements an effective organizational strategic plan, with clearly defined mission, vision and values.
  2. To assist the Board in ensuring that RECO develops and implements an annual business plan as required by the administrative agreement between RECO and government, and to ensure that the business plan functions as the implementation plan for the strategic plan.
  3. To oversee the development and implementation of an organizational planning cycle, coordinating strategic planning, business planning, budget planning, sustainability considerations and risk management.
  4. To monitor the performance of RECO against the goals and objectives in its strategic plan and business plan.

II. Chair, Vice-Chair and Membership

  1. The Committee shall consist of the Chair of the Board ex officio, the Vice-Chair of the Board ex officio, as many as six additional members of the Board, and such non-Board members as the Board may appoint.  The majority of members of the Committee (excluding the Board Chair and Vice-Chair ex officio for the purpose of calculating the majority) shall be members of the Board.
  2. The Board shall appoint a Committee chair and vice-chair from among the members of the Board appointed to the Committee, provided that the Board Chair and the Board Vice-Chair shall not serve as the chair or vice-chair of the Committee.

III. Duties, Functions & Responsibilities

The Committee shall perform the following duties, functions and responsibilities on behalf of the Board:

  1. To oversee the development of RECO’s strategic plan, and to make recommendations to the Board with respect to mission, vision, values and objectives as they relate to the strategic plan.
  2. To oversee the development of RECO’s annual business plan, ensuring that it functions as the implementation plan for the strategic plan, and that it meets the requirements of the administrative agreement between RECO and the government.
  3. To make recommendations to the Board with respect to RECO’s annual business plan.
  4. To ensure on behalf of the Board that RECO develops and deploys a realistic, achievable planning cycle, integrating strategic planning, business planning, budget planning, sustainability considerations and enterprise risk and innovation management, and to approve changes to that planning cycle on behalf of the Board.
  5. To receive reports from management on RECO’s progress towards achieving annual business planning objectives and longer-term strategic planning goals and objectives, to advise management on and approve on behalf of the Board relevant metrics and reporting tools, and to make reports to the Board in these respects.
  6. To oversee the administration of the following Board policies, and to perform the functions of the Committee as described in these policies:
    1. Policy on Organizational Planning & Performance.
  7. To review the Board-approved terms of reference and work plan for the Committee on not less than an annual basis, and to make recommendations for change to the Board as may be required.
  8. To establish such sub-committees of the Committee as the Committee may deem advisable and to assign terms of reference for such sub-committees, provided that the Committee may not delegate to such sub-committees any decision-making authority otherwise vested in the Committee, it being understood that any such sub-committees are to be exclusively advisory to the Committee.
  9. To perform such other duties and responsibilities as the Board may assign.
